Terms and conditions

These general conditions of sale (the “General Conditions of Sale”) regulate the relationships between Patagonia s.a.s. di Baruzzo Barbara and co., with registered office in Verrès (AO), Via Duca d’Aosta 8, VAT number no. 03094580275, and the Customer (as defined below) in relation to the purchase made remotely, via telematic network, on the website www.gingernino.it of Products (as defined below), and are intended to regulate exclusively the type of relationships B2B.
For anything not expressly regulated by these General Conditions of Sale, please refer to the provisions of the civil code.

In these General Conditions of Sale, the following terms have the meaning specified below:
“Customer”: means commercial and/or professional operators, retailers, wholesalers, traders, all with a VAT number, and private customers.
“Parties”: jointly means Patagonia s.a.s. and the Customer.
“Products”: means items present in the virtual catalog published on the Site and marketed by Patagonia s.a.s., as illustrated in the relevant descriptive and technical data sheets.
“Site”: means the website corresponding to the address www.gingerino.it

These General Conditions of Sale must be examined by the Customer before completing the purchase procedure indicated on the Site. The forwarding of the confirmation of the purchase order by the Customer therefore implies acceptance of the particular purchase conditions (Products ordered, purchase price, etc.) and total knowledge by the Customer of these General Conditions of Sale and their full acceptance.

The Customer who intends to purchase the Products online on the Site must first register by following the procedure described on the Site, in order to activate the process for the execution of an online purchase order proposal.
The purchase order proposals for the Products, as described in the online catalog of the Site, must be sent to Patagonia s.a.s. electronically in accordance with the purchase procedure described on the Site, specifying the product code and the relative quantity.
The Customer, following the electronic sending of his order proposal at the end of the online purchase procedure, will receive from Patagonia s.a.s. a communication regarding the actual availability of the selected Products and, if so, confirmation of acceptance of the order proposal via an e-mail sent to the e-mail address provided by the Customer, with a summary of the available Products, the cost unit of each selected Product, the total amount of the transaction, the transport costs, the delivery times and an order number which from that moment will become the reference for any communication between Patagonia s.a.s. and the Customer.
The online sales contract is considered concluded and therefore binding between the Parties, when Patagonia s.a.s. transmits to the Customer, in the manner described above, the confirmation of acceptance of the Customer’s order proposal.
Patagonia s.a.s. reserves the right not to accept incomplete or incompletely completed purchase orders.

The minimum amount of each purchase order must be equal to Euro 10.00 (ten/00), VAT included.
Patagonia s.a.s. reserves the right not to accept purchase orders for amounts lower than the sum mentioned above.

The subject of these General Conditions of Sale are the Products present in the catalog published on the Site, accessible by Customers.
For each Product in the online catalogue, in addition to the price including VAT, the relevant technical data sheet is shown.
Patagonia s.a.s. reserves the right to change the online catalog at any time.
Since the products are handmade, the images depicting the products are for illustrative purposes only and may also differ from the one created and sent to the customer.

The prices of the Products are indicated on the Site and are expressed in Euros including VAT and any other taxes as well as the shipping cost which will in any case be made known to the Customer upon confirmation of the purchase order proposal.
Patagonia s.a.s. reserves the right to change the prices in the online catalogue, at any time, without notice.

Patagonia s.a.s. will arrange for the Products ordered to be delivered to the Customer, at the address indicated by the Customer, by express courier.
Shipping costs are charged to the customer.
Patagonia s.a.s. undertakes to deliver to the courier the Products requested by the Customer and available in stock within 15 working days of sending the communication of acceptance and confirmation of the order proposal.
It is understood that Patagonia s.a.s. will in no case be held responsible for failed or delayed delivery where this is due to events attributable to the courier, force majeure or unforeseeable circumstances.

The Customer acknowledges and recognizes that the online catalog consists of merely indicative photographic reproductions of the Products.
Patagonia s.a.s. guarantees that the Products delivered to the Customer are free of defects.
Upon delivery of the Products, the Customer must verify the integrity of the packages and the absence of defects. In case of non-integrity of the packages or defects of the Products, the same must be reported by the Customer within 8 days of receipt, via email or registered letter with return receipt, under penalty of forfeiture, clearly explaining the reasons for the complaint.
It is understood that Patagonia s.a.s. will not take into account complaints reported after the aforementioned deadlines.
The costs of returning Products are borne by the Customer.

The purchased Products will be paid by the Customer via the PayPal and Satispay electronic systems, by credit card or by bank transfer.
The delivery of the Products will be processed once the amount has been credited to the bank account of Patagonia s.a.s.

Patagonia s.a.s. undertakes to maintain the efficiency of the service offered continuously, except for technical problems, ordinary and/or extraordinary maintenance, causes of force majeure, including provisions of the Authority. If Patagonia s.a.s. was forced to interrupt the service in the presence of justified security problems and/or guarantee of confidentiality or for exceptional events or ordinary and/or extraordinary maintenance, the same will try to contain the periods of interruption and/or malfunctioning in the shortest possible time.
Patagonia s.a.s. therefore, from now on, declines any responsibility regarding any temporary or permanent interruptions of the service, whether caused by itself or by third parties, without however guaranteeing Patagonia s.a.s. continuity of service, partial or complete loss of data stored, sent, received, archived, compensation for damages towards the Customer or third parties for any reason including emerging damage and loss of profit.
The Customer acknowledges and accepts that the acquisition of order proposals by Patagonia s.a.s. through the Site may be suspended during closing periods.

These General Conditions of Sale are governed by Italian law.
Any dispute relating to the execution, interpretation and violation of these General Conditions of Sale and the contract stipulated online between Patagonia s.a.s. and the Customer will be subject to the exclusive jurisdiction and competence of the Court of Aosta.
